STANDARD TERMS AND CONDITIONS OF SALE
Terms & Conditions
1. Definitions
“Secure Lockers”, “we”, “us”, “our” means the selling entity trading as Secure Lockers. “You”, “Customer” means the purchaser. “Goods” means lockers, components and accessories. “Services” means delivery, installation, commissioning and related works. “Site” means the delivery/installation address. “Quote” means our written price/scope. “Order” means your acceptance of a Quote (including via the website Add to Quote flow) and our subsequent Order Confirmation.
2. Application & precedence
These Terms apply to all Quotes, Orders and supplies unless a separate signed agreement expressly overrides them. If there is any inconsistency, precedence is: (1) signed contract; (2) these Terms; (3) the Quote/Order Confirmation; (4) other documents.
3. Quotes, pricing & acceptance
a) Quotes are invitations to treat, not offers, and are valid for the period stated (or 30 days if not stated).
b) Prices exclude GST unless specified and may change for currency, freight, surcharges or specification changes not allowed for at quote time.
c) Your Order is accepted only when we issue an Order Confirmation. We may decline or correct obvious errors prior to acceptance.
4. Product specification & suitability
a) You are responsible for the accuracy of drawings, dimensions, clearances and counts supplied to us. We do not perform site measures unless expressly included.
b) Colours/finishes may vary between batches and screens; for critical matches request approval samples before ordering.
c) Minor manufacturing and finish variances (e.g., powder-coat texture on non-visible faces, weld marks, HDPE/laminate shade variation) are not defects where function is unaffected.
5. Warranty
The warranty term for each product (e.g., Lifetime / 15-year / 10-year) is shown on the product page and your documentation. Coverage is for defects in materials and workmanship under normal use and correct installation. Full details are on our Warranty page. Nothing in these Terms limits your rights under the Australian Consumer Law (ACL).
6. Payment terms
a) Unless otherwise agreed in writing: 30% deposit on quote acceptance / Order Confirmation; balance on completion (or dispatch for supply-only).
b) We may issue progress claims for staged or long-lead orders.
c) Late amounts accrue interest at the lesser of 1.5% per month or the maximum permitted by law, plus reasonable recovery costs.
d) Title retention (see cl. 12) applies until payment in full.
7. Delivery, risk & storage
a) Delivery dates are estimates only; time is not of the essence unless expressly agreed.
b) Risk passes on delivery to Site (or collection). Title remains with us until paid in full.
c) If Site is not ready or delivery is delayed beyond the scheduled window, we may charge storage/demurrage and re-delivery fees.
d) You must provide safe access, booked docks/lifts and any permits.
8. Installation (if included)
a) Installation scope is as per the Quote/Order Confirmation. Builder’s works, make-good, electrical/data by others and substrate rectification are excluded unless stated.
b) You warrant that substrates are structurally suitable and services are clearly marked. We may suspend works if conditions are unsafe or non-compliant; standby/re-attendance charges apply.
c) After-hours/night works, inductions and special permits are priced only if specified; otherwise they may attract additional charges.
d) We may use vetted subcontractors. A single project owner coordinates program and standards.
9. Variations & cancellations
a) Any change to specification, quantities, finishes, locking, mounting, program or access is a Variation and may impact price and lead time. Variations must be confirmed in writing.
b) Custom/ made-to-order Goods are not cancellable once in production. Standard items cancelled after acceptance may incur a restocking/administration fee.
c) If a Site is not ready or access is denied within the agreed window, we may recover standby/re-attendance costs.
10. Returns
Change-of-mind returns are not accepted. Returns for defect are handled under the Warranty page and ACL.
11. Force majeure
We are not liable for delay or failure due to events beyond reasonable control, including but not limited to industrial action, shortages, transport failures, epidemics, extreme weather or Government action. Timeframes move by the period of the disruption.
12. Title, PPSA & security interest
a) Title to Goods passes only when paid in full. Until then, you hold Goods as bailee and must keep them identifiable and insured.
b) You grant us a security interest in the Goods and proceeds under the PPSA and consent to our registration. You must not encumber or on-sell unpaid Goods without our consent.
c) If you default, we may enter premises to recover Goods without liability for trespass to the extent permitted by law.
13. Liability & indemnity
a) To the extent permitted by law, our maximum aggregate liability for any claim arising out of the supply of Goods/Services is limited to the amount paid for the affected Goods/Services.
b) We are not liable for indirect, special or consequential loss, loss of profit, production, revenue, or business interruption, except as required by the ACL.
c) You indemnify us against loss arising from your breach of these Terms, inaccurate information or unsafe/unready Site conditions.
14. Intellectual property & samples
Drawings, CAD, specifications, imagery and documentation we provide remain our IP. They may not be used or shared outside the project without consent. Samples are indicative only and may not perfectly match production.
15. Confidentiality & privacy
Commercial pricing and proposals are confidential. Personal information is handled in accordance with our Privacy Policy.
16. Photographs & records
We may photograph completed works for record and quality assurance. Public use of images will respect confidentiality and any reasonable restrictions you notify.
17. Electrical & smart locking
a) Fixed electrical connections are performed by a licensed electrician. We coordinate timing; any certification is by the electrician of record.
b) Smart locking compatibility depends on your card technology and security policy. Credential management and batteries are your responsibility unless a service plan is agreed.
18. Claims & notice
Delivery shortages or visible transport damage must be noted on the carrier’s docket and notified to us within 5 business days. Warranty claims follow the process on the Warranty page.
19. Governing law & disputes
These Terms are governed by the laws of Australia and the State or Territory where the Goods are delivered. The parties will attempt good-faith resolution before litigation.
20. Amendments & severability
We may update these Terms from time to time. The version in force at Order Confirmation applies to that Order. If any provision is invalid, the remainder remains effective.
